Welcome to WhoDat! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and WhoDat Ventures, Inc. ("WhoDat," "we," "us," or "our"). These Terms govern your access to and use of our mobile applications, web applications, profiles, websites, APIs, and associated digital services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES. BY DOWNLOADING, ACCESSING, BROWSING, OR USING ANY PART OF THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU DO NOT HAVE PERMISSION TO ACCESS OR USE THE SERVICES.

1. Description of the Services

WhoDat is an automated digital discovery and public figure identification platform. The Services utilize proprietary search methods, artificial intelligence algorithms, computer vision technologies, and automated knowledge retrieval systems to help users identify and discover publicly known figures—such as actors, musical artists, public creators, athletes, authors, and industry leaders—using submitted visual queries, text descriptions, or platform browsing.

Through the Services, users may explore curated profiles, discover scheduled appearances and tour dates, access aggregated links to third-party media and ticketing partners, and subscribe to receive real-time updates and alerts from or regarding public figures and creators.

2. Eligibility and Account Registration

Eligibility: You must be at least 13 years old to access or use the Services. If you are under the age of majority in your jurisdiction (typically 18 years old), you represent that you have received permission from your parent or legal guardian to enter into these Terms.

Account Security: You may use certain features of the Services without creating an account. However, accessing specific features (such as claiming a profile, subscribing to creator updates, or saving bookmarks) may require you to register using an email address, verified phone number, or third-party authentication provider (e.g., Google or Apple). You are responsible for safeguarding your credentials and for all activities that occur under your account. You agree to notify us immediately at support@whodat.app of any unauthorized access or security breach.

3. Artificial Intelligence, Visual Search, & Identification Disclaimers

Our visual search and entity synthesis features leverage automated machine learning models, computer vision technologies, and natural language synthesis. By submitting an image or query through the Services, you acknowledge and agree that:

• Entertainment & Informational Purposes Only: All entity recognitions, biographical summaries, and search results are generated programmatically and provided strictly for entertainment and informational purposes. Automated recognition systems may produce false positives, misidentifications, incomplete summaries, or outdated details. WhoDat makes no representation, guarantee, or warranty regarding the accuracy, validity, completeness, or reliability of any automated search result.
• Permissible Image Submission: You represent and warrant that you hold all necessary legal rights, titles, and consents to submit any photo or visual asset provided to the Services, and that your submission does not violate any third party's privacy rights, publicity rights, intellectual property rights, or statutory protections.
• No Stalking or Unlawful Surveillance: You are strictly prohibited from using the Services to photograph, identify, surveil, dox, stalk, harass, or track private individuals, non-public figures, or minors, or for any law enforcement, biometric profiling, credit assessment, or employment evaluation purposes.

4. Fan Subscriptions, Creator Alerts, and Communications

WhoDat provides features enabling users ("Fans") to follow or subscribe to specific creators and public figures to receive notifications, event announcements, and profile updates.

• Sharing Contact Information: When you subscribe to an individual creator or public figure on the platform, you may choose to provide your email address and/or verified phone number to receive updates. You understand and agree that when you opt into subscribing to a specific creator, your designated contact information (name, handle, email, and/or phone number) is shared with that specific creator so that they may maintain their community records and communicate with their audience.
• Independent Creator Communications: Creators operate as independent third parties. While WhoDat provides automated notification workflows, creators may also contact you directly outside the Services. WhoDat is not responsible for the frequency, content, or privacy practices of independent creator communications.
• Managing & Opting Out: You can manage or revoke your subscriptions at any time through your account settings in the App or by contacting support@whodat.app.

5. SMS/Text Messaging and Telemarketing Consent (TCPA)

If you choose to submit and verify your mobile phone number to receive creator alerts, transactional messages, or platform notifications, you expressly consent to receive automated operational and recurring promotional text messages (SMS/MMS) from WhoDat or on behalf of creators you subscribe to at the mobile telephone number provided.

• No Condition of Purchase: Your consent to receive SMS communications is entirely voluntary and is not a condition of purchasing any good or service.
• Message Frequency: Message frequency varies depending on your selected subscriptions, creator announcements, and platform activity.
• Rates & Carriers: Standard message and data rates may apply as determined by your mobile carrier. WhoDat and mobile carriers are not liable for delayed or undelivered messages.
• How to Opt Out: You may opt out of SMS communications at any time by replying "STOP" to any text message received from WhoDat. For assistance, reply "HELP" or email support@whodat.app. After texting "STOP", you may receive one final confirmation message confirming your opt-out.

6. Creator Accounts, Profile Claims, and Conduct

Public figures, creators, and their authorized legal representatives may claim, verify, and curate their official profiles on WhoDat.

• Authorized Representation: If you claim an account or profile on behalf of a public figure or entity, you represent, warrant, and covenant that you possess full legal authority to act on their behalf. WhoDat reserves the right to request documentation confirming your identity or agency and may revoke or reassign any claimed profile at any time in its sole discretion.
• Creator Data Obligations: Creators who export, download, or access subscriber lists agree to handle fan contact information in strict compliance with all applicable laws, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the California Consumer Privacy Act (CCPA), the EU/UK General Data Protection Regulation (GDPR), and all other consumer protection and anti-spam regulations. Creators must immediately honor fan opt-out and unsubscribe requests.
• No Endorsement: The inclusion or claim of a profile on WhoDat does not constitute an endorsement, sponsorship, or partnership between WhoDat and the public figure, unless expressly agreed to in a separate executed written contract.

7. Event Listings, Ticketing, and Commercial Disclosures (FTC)

WhoDat aggregates public event dates, concert schedules, and venue information from third-party services and partners, including SeatGeek, Bandsintown, Seated, and venue ticketing APIs.

• Event Disclaimers: Event dates, venue locations, ticket prices, and performer lineups are subject to change, postponement, or cancellation without notice. WhoDat does not own, operate, or sell tickets to any event and disclaims all liability for errors or changes in event schedules.
• Third-Party Ticketing Platforms: Outbound ticket links navigate to external third-party merchants and ticket exchanges (e.g., SeatGeek, Ticketmaster, AXS, or venue box offices). Any ticket or merchandise purchase is a direct transaction between you and the respective third-party merchant, governed exclusively by that merchant's terms, refund policies, and privacy policies. WhoDat is not a party to such transactions and is not responsible for ticketing issues, counterfeit passes, admission denials, or refund disputes.
• Commercial & Affiliate Disclosure: In compliance with Federal Trade Commission (FTC) guidelines, please be advised that outbound links to ticketing exchanges, music streaming services, merchandise retailers, and sponsor websites may contain affiliate tracking codes. WhoDat may earn a referral commission or affiliate compensation when you click on these links or make a qualifying purchase, at no additional cost to you.

8. User Content & Ephemeral Processing

Search Query Imagery: Photos and visual assets submitted for visual search queries are processed ephemerally in volatile memory solely to execute your search query. WhoDat does not retain, store, or sell user-uploaded visual search images, nor do we use them to train our proprietary computer vision models.

Public Content & Profile Submissions: If you upload images (such as an account profile photo or creator banner), post bio updates, or submit public commentary ("User Content"), you grant WhoDat a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, cache, reproduce, display, and distribute such User Content solely in connection with operating, maintaining, and improving the Services. You retain all your ownership rights in your User Content.

9. Proprietary Rights and Protection of Trade Secrets

WhoDat Intellectual Property: Excluding publicly sourced biographical facts and your User Content, all elements of the Services—including software, mobile client code, server architecture, user interface designs, graphic assets, trademarks, branding, domain names, algorithmic models, search heuristics, entity matching pipelines, ranking methodologies, databases, and trade secrets—are the exclusive property of WhoDat Ventures, Inc. and its licensors, protected by United States and international copyright, trademark, patent, and trade secret laws.

Strict Anti-Reverse Engineering & Anti-Extraction Covenant: You explicitly agree that you shall not, and shall not encourage, permit, or assist any third party to:

• Decompile, disassemble, reverse engineer, decrypt, analyze the binary of, or attempt to derive or reconstruct the source code, underlying algorithms, structure, model weights, or trade secrets of the Services;
• Scrape, crawl, harvest, extract, or index data, profiles, entity relationships, or search results from the Services through automated means (including bots, crawlers, scrapers, or browser automation tools) without our express prior written consent;
• Circumvent, bypass, disable, tamper with, or probe any security, authentication, rate limiting, or access control measures implemented by WhoDat or its infrastructure providers;
• Use outputs, data, or results derived from the Services to build, train, benchmark, evaluate, or optimize any competing machine learning, artificial intelligence, computer vision, or entity identification product or service;
• Frame, mirror, white-label, or co-brand any portion of the Services without express written authorization from WhoDat.

10. Prohibited Uses

In addition to the restrictions set forth above, you agree that you will not use the Services to:

• Violate any local, state, national, or international law, regulation, or court order;
• Upload, submit, or transmit any content that is libelous, defamatory, obscene, pornographic, abusive, threatening, or infringing of any third-party intellectual property or privacy right;
• Engage in impersonation of any individual, celebrity, public figure, or business, or falsely misrepresent your affiliation with any person or entity;
• Transmit viruses, malware, trojans, worms, or any code designed to disrupt, damage, or compromise system integrity;
• Interfere with or disrupt the operation of the Services, servers, or networks connected to the Services.

11. Fees, Purchases, and Optional Premium Services

The standard visual search and profile exploration features of WhoDat are currently offered free of charge. WhoDat reserves the right to introduce optional premium features, paid creator tools, enhanced search quotas, or subscription tiers in the future ("Premium Services"). If WhoDat introduces paid features, the applicable fees, billing terms, and renewal conditions will be clearly disclosed to you prior to purchase.

12. Digital Millennium Copyright Act (DMCA) Policy

WhoDat respects the intellectual property rights of others and adheres to the safe harbor provisions of the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe in good faith that any content or material hosted on the Services infringes your copyright, you or your designated agent may submit a formal DMCA Notice of Infringement to our Designated Copyright Agent containing the following information:

1. A physical or electronic signature of a person authorized to act on behalf of the owner of the infringed copyright;
2. Identification of the copyrighted work claimed to have been infringed;
3. Identification of the material claimed to be infringing and reasonably sufficient information to permit WhoDat to locate the material (such as the specific profile handle or URL);
4. Your contact details, including legal name, physical address, telephone number, and email address;
5. A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
6. A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

You agree to defend, indemnify, and hold harmless WhoDat Ventures, Inc., its parent, subsidiaries, affiliates, officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys' fees and legal expenses) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, publicity, or statutory right; or (d) any User Content or photos submitted by you.

16. Dispute Resolution, Binding Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

• Informal Resolution First: Before initiating any formal legal proceeding, you and WhoDat agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") informally for at least thirty (30) days by providing written notice to support@whodat.app.
• Binding Arbitration: If the Dispute is not resolved within thirty (30) days, the Dispute shall be settled exclusively by individual, binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, except as modified herein. The arbitration shall take place in Wilmington, Delaware, or may be conducted virtually by telephone or video conference for claims under $25,000.
• Class Action Waiver: YOU AND WHODAT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
• Exceptions: Notwithstanding the foregoing, either party may bring an individual action in small claims court having competent jurisdiction, and either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property, trade secrets, or confidential information.

17. Governing Law and Forum

These Terms and any Dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any principles of conflicts of law. To the extent court proceedings are permitted under Section 16, you and WhoDat consent to the exclusive personal jurisdiction and venue of the state and federal courts located in New Castle County, Delaware.

18. Mobile App Store Minimum Terms (Apple & Google)

If you download or access the WhoDat App from the Apple App Store or Google Play Store, you acknowledge and agree that:

• These Terms are concluded between you and WhoDat only, and not with Apple Inc. or Google LLC. WhoDat, not Apple or Google, is solely responsible for the App and its content.
• Apple and Google have no obligation whatsoever to furnish any maintenance and support services with respect to the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple or Google, and Apple or Google will refund the purchase price for the App to you (if applicable); to the maximum extent permitted by applicable law, Apple and Google have no other warranty obligation whatsoever.
• Apple and Google are not responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App, including product liability claims, consumer protection claims, or intellectual property infringement claims.
• Apple, Google, and their subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple and Google will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

19. Severability and Entire Agreement

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. These Terms, together with our Privacy Policy and any official platform policies, constitute the entire agreement between you and WhoDat regarding the subject matter hereof and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

20. Modifications to These Terms

We reserve the right to revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when posted, and apply to all access to and use of the Services thereafter. If we make material changes, we will notify you through the App, via email, or by updating the "Last Updated" date at the top of this page. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
